These Terms of Service explain the rules for using oxvendor.com and buying from OXVENDOR. Please read them carefully before you place an order.

Overview

Welcome to OXVENDOR. The terms "we", "us" and "our" refer to OXVENDOR. OXVENDOR operates this store and website, including all related information, content, features, tools, products and services (the "Services"). OXVENDOR is powered by Shopify, which enables us to provide the Services to you.

These terms, together with the policies referenced in them (these "Terms of Service"), describe your rights and responsibilities when you use the Services. They include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting or using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Services. These Terms of Service do not limit any rights you have under applicable consumer protection laws or other rights that cannot be waived.

1. Access and account

By agreeing to these Terms of Service, you confirm that you are at least the age of majority in your state or province of residence, and that you allow any minor dependents to use the Services on devices you own or manage. To use the Services or buy from us, you may need to provide information such as your email address and billing, payment and shipping details. You confirm that this information is correct, current and complete and that you have the right to provide it. You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.

2. Our products

We make every effort to show our products accurately. Colors and appearance may look different depending on your screen and device settings. We do not guarantee that the appearance or quality of any product will meet your expectations or look exactly as shown. Product descriptions may change at any time without notice. We may discontinue any product at any time and may limit the quantities we sell to any person, region or jurisdiction.

3. Orders

When you place an order, you make an offer to buy and authorize us and our payment processors to charge your selected payment method for the full order amount. We may accept or decline any order at our discretion, subject to applicable law. Your order is accepted only when we confirm it, and we must receive your payment before we do. If we decline, change or cancel an order, we will try to let you know using the email, billing address or phone number you provided.

Returns, exchanges and cancellations are handled under our Refund Policy. This does not limit any rights you have under applicable law. You confirm that your purchases are for personal or household use and not for commercial resale or export.

4. Prices and billing

Prices, discounts and promotions may change without notice. The price you pay is the price in effect when you place your order, as shown in your order confirmation email. All prices are in US dollars. Standard shipping within the United States is free. Sales tax, where it applies by law, is shown at checkout before you pay. Promotions may have their own terms. If those terms conflict with these Terms of Service, the promotion terms apply.

You agree to provide current, complete and accurate payment and account information and to keep it up to date. You confirm that (1) you are authorized to use the payment method you provide, (2) the payment information you give is true and complete, (3) your payment provider will honor the charges, and (4) you will pay all charges at the posted prices, including any applicable taxes. 5. Shipping and delivery

Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers or by events outside our reasonable control, such as severe weather, natural disasters, labor disputes, supply shortages, outages, cyber incidents or government actions. Title and risk of loss pass to you when your order is delivered to the shipping address you provided. See our Shipping Policy for details.

6. Intellectual property

The Services, including all trademarks, brands, text, images, graphics, product reviews, video and audio, are owned by OXVENDOR, its affiliates or licensors and are protected by US and international intellectual property laws. Product listings are managed and owned by OXVENDOR. Buying a product does not give you any intellectual property rights in the product or its design. You may use the Services for personal, non-commercial purposes only. You may not copy, distribute, modify, publicly display, republish, download, store or transmit any material from the Services without our written consent. All rights not expressly granted are reserved.

OXVENDOR's name, logo, product names, designs and slogans are trademarks of OXVENDOR or its affiliates or licensors and may not be used without our written permission. Shopify's name and logo are trademarks of Shopify. Other names and logos on the Services belong to their respective owners.

7. Optional tools

We may give you access to tools provided by third parties that we do not monitor or control. These tools are provided "as is" and "as available", without warranties or endorsement, and you use them at your own risk. Please review the terms of the relevant third-party provider. New features or tools we add to the Services are also covered by these Terms of Service.

8. Third-party links

The Services may include links to websites or content operated by third parties. We are not responsible for their content or accuracy, and we are not liable for any harm related to your use of third-party websites, products or services. Please review their policies before you engage with them. Questions or complaints about third-party products should be directed to the third party.

9. Relationship with Shopify

OXVENDOR is powered by Shopify. When you use the Services, your device communicates with Shopify's systems. Section 10 explains how Shopify uses information from these interactions. Any purchase you make in our store is made directly with OXVENDOR. Shopify is not responsible for any part of the sale between you and OXVENDOR, including any injury, damage or loss resulting from purchased products, and you release Shopify and its affiliates from all claims related to your purchases from OXVENDOR.

10. Privacy policy

Our Privacy Policy explains how we collect, use and disclose personal information. Because the Services are hosted by Shopify, Shopify also collects and processes information about your use of the Services, including your transactions, to provide, secure and improve the Services, process transactions and help prevent fraud. 11. Feedback

If you send us ideas, suggestions, reviews or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display it in any medium for any purpose, including commercial use. You confirm that you own or have the rights to your Feedback, that you have disclosed any compensation you received for it and that it complies with these Terms of Service. We have no obligation to keep Feedback confidential, pay for it or respond to it, and we may edit or remove Feedback we consider unlawful, offensive or in violation of anyone's rights. Your Feedback must not violate anyone's rights, contain unlawful or abusive content or contain malware. You may not use a false email address or pretend to be someone else. You are responsible for your Feedback and its accuracy.

12. Errors, inaccuracies and omissions

Information on the Services may occasionally contain errors or omissions related to product descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct errors, update information or cancel orders if information is inaccurate, including after an order is placed. If we cancel an order after payment, we will refund the full amount to your original payment method.

13. Prohibited uses

13.1 You may use the Services for lawful purposes only. You may not use the Services: (a) for any unlawful or malicious purpose; (b) to violate any laws or regulations; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, defame or harm anyone; (e) to share false or misleading information; (f) to send or use material that does not comply with these Terms of Service; (g) to send spam or unsolicited advertising; (h) to impersonate any person or entity; or (i) in any way that limits others' use of the Services or may harm OXVENDOR, Shopify or other users.

13.2 You also agree not to: (a) upload viruses or other malicious code; (b) copy, extract, sell or exploit any part of the Services; (c) collect or track other people's personal information; (d) spam, phish, pharm or pretext; (e) use robots, spiders, scrapers or other automated tools to access the Services, except Agents that follow section 14; or (f) bypass or interfere with our security measures. We may suspend or terminate your account at any time without notice if you violate these terms.

14. Agents

14.1 This section applies if you use or enable an "Agent" to access or interact with the Services. An "Agent" is any software or service that acts autonomously or semi-autonomously on behalf of a person or entity without direct supervision.

14.2 An Agent may access the Services only if it identifies itself and follows the requirements in section 14.4, and only if we have not asked it to stop.

14.3 We may limit, including by technical measures, whether and how any Agent accesses the Services.

14.4 Agents must: (a) identify themselves in every HTTP/HTTPS request by including "Agent/[agent name]" in the user agent string; (b) not hide that they are Agents, for example by mimicking human behavior or completing or bypassing CAPTCHAs; (c) answer truthfully when asked whether they are a human or a computer; and (d) not bypass any measure meant to control how Agents access the Services.

15. Termination

We may end this agreement or your access to the Services at any time without notice, and you remain liable for all amounts due up to that date. Sections that by their nature should survive termination, including Intellectual property, Feedback, Termination, Disclaimer of warranties, Limitation of liability, Indemnification, Severability, Waiver and entire agreement, Assignment, Governing law and Privacy policy, will continue to apply.

16. Disclaimer of warranties

Information on the Services is provided for general information only. We do not guarantee its accuracy, completeness or usefulness, and any reliance on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY OXVENDOR, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL OXVENDOR, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THEIR POSSIBILITY. NOTHING IN THESE TERMS OF SERVICE EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. Indemnification

You agree to indemnify, defend and hold harmless OXVENDOR, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to a third party and arising from (1) your breach of these Terms of Service, (2) your violation of any law or the rights of a third party, or (3) your use of the Services. We will notify you of any such claim, and we may control its defense at your expense. We will not settle a claim that requires non-monetary obligations from you without your consent, which you will not unreasonably withhold. You will cooperate in the defense, including by providing relevant documents.

19. Severability

If any provision of these Terms of Service is found unlawful, void or unenforceable, it will still be enforced to the fullest extent permitted by law, and the unenforceable part will be separated from the rest. This does not affect the validity of the remaining provisions. Nothing in these terms limits rights you have under consumer protection laws or other laws that cannot be waived. If any part of these terms conflicts with those rights, those rights apply.

20. Waiver and entire agreement

If we do not enforce any right or provision of these Terms of Service, that does not waive it. These Terms of Service and any policies we post on this site form the entire agreement between you and us about your use of the Services and replace any earlier agreements or versions. Any ambiguity will not be interpreted against the drafting party.

21. Assignment

You may not transfer or assign these terms or any of your rights or obligations without our prior written consent. We may transfer or assign them without your consent or notice.

22. Governing law

These terms are governed by the laws of the jurisdiction where OXVENDOR is headquartered or incorporated, without regard to conflict-of-law principles. You and OXVENDOR agree to the jurisdiction and venue of the courts in that jurisdiction, except where prohibited by law. These terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law principles. Nothing in this section limits your right to bring claims in your local courts or to rely on mandatory laws of your place of residence.

23. Translations

These Terms of Service may be available in other languages. If there is any conflict, the most current English version applies, and disputes will be handled in English unless we decide otherwise or the law requires otherwise.

Headings are included for convenience only and do not limit or affect these terms.

25. Electronic communications

By using the Services or placing an order, you agree that we may send you transactional and service messages electronically, including by email, in your account or on the Services. These may relate to your orders, account, returns, these Terms of Service or other matters. Please keep your contact information up to date.

26. Changes to these terms

You can review the current version of these Terms of Service on this page at any time. We may update, change or replace any part of these terms by posting changes on our website, so please check this page from time to time. We will notify you of material changes as required by law, and they take effect on the date stated in the notice. Continuing to use the Services after changes are posted means you accept them.
